Acceptance of Terms

These Terms of Service govern access to and use of antoriss.com (the "Website"). By accessing, browsing or using the Website, you agree to these Terms. If you do not agree, do not use the Website.

If you use the Website on behalf of a company or other organisation, you confirm that you are acting for legitimate business purposes and have authority to accept these Terms on its behalf to the extent required by applicable law.

Website Purpose

The Website provides general information about ANTORIS, industrial weighing components, applications, product selection and technical documentation for business, professional and technical users.

The Website is an information and inquiry channel. It is not currently presented as an online store and does not, by itself, accept payment, conclude an order or create a binding sales contract.

Product Information

Product images, descriptions, specifications, dimensions, drawings, compatibility information, application guidance and availability on the Website are general information. They may change and must be confirmed for the relevant model, revision, quantity and project.

Technical suitability depends on factors that may include capacity, loading direction, mounting, dimensions, output, cable, environment, interfaces, calibration, system architecture and applicable documents. Website content is not a substitute for an approved quotation, current specification sheet, approved technical drawing, written model confirmation or purchase agreement.

Inquiries, Quotations and Orders

Submitting a Website inquiry asks ANTORIS to review or respond to the information provided. An inquiry, file upload, automated acknowledgement, preliminary recommendation or discussion does not by itself constitute an offer, acceptance or binding order.

Price, payment, taxes, delivery, title, risk, inspection, cancellation, returns, warranty, remedies and other commercial terms apply only as stated in the relevant quotation, order confirmation, purchase agreement or other written agreement. These Terms do not create or invent those conditions.

Permitted Use

You may browse the Website and use its publicly available content for legitimate internal business evaluation, product selection and purchasing activities. You may download or print materials made available for that purpose, provided that you keep any copyright, trademark and proprietary notices intact.

No other licence or right is granted except as expressly stated in these Terms or in a separate written agreement.

To the extent permitted by applicable law, ANTORIS is not responsible under these Website Terms for indirect or consequential loss arising solely from access to, inability to access, or reasonable reliance on general Website information when the relevant model or project information should have been confirmed in writing.

These Website Terms do not establish a monetary liability cap and do not govern liability arising under a separate quotation, order confirmation, purchase agreement or signed contract. Liability for a specific transaction must be addressed in the applicable commercial terms.

Nothing in these Terms excludes or limits liability for fraud, fraudulent misrepresentation, wilful misconduct, death or personal injury caused by negligence, or any other liability that cannot be excluded or limited under the applicable law.

Indemnification

Unless expressly stated in a separate written commercial agreement, these Website Terms do not create a general obligation for either party to indemnify the other.

Where unlawful Website use, malicious interference, infringement of third-party rights or materially false submissions cause loss, ANTORIS may pursue the remedies available under applicable law. Any transaction-specific indemnity must be proportionate and stated in the relevant quotation, order confirmation, purchase agreement or signed contract.

Suspension or Termination

ANTORIS may restrict or suspend access to all or part of the Website where reasonably necessary to address suspected misuse, a security risk, legal requirement, provider issue or material interference with Website operation.

A Website access restriction does not by itself terminate or amend an existing commercial agreement. Any effect on a quotation, order or contract is governed by that document and applicable law.

Changes to These Terms

ANTORIS may update these Terms to reflect changes to the Website, business process, technology or legal requirements. The current version will be published on this page and identified by the "Last Updated" date.

Revised Website Terms apply from the stated effective date, subject to applicable law. They do not retrospectively replace the terms of an existing signed commercial agreement unless that agreement permits the change or the parties agree in writing.

Governing Law and Disputes

These Terms are governed by the laws of the People's Republic of China, without regard to conflict-of-laws principles, except where mandatory applicable law requires otherwise.

Any dispute relating solely to these Website Terms is subject to the jurisdiction of the competent People's Court at the registered domicile of Changzhou Nuoke Intelligent Technology Co., Ltd., unless mandatory applicable law requires a different forum.

A separate quotation, order confirmation, purchase agreement or signed contract may contain a different governing-law or dispute clause for that transaction. If so, the transaction-specific clause controls for that agreement.

General Provisions

Severability

If a provision of these Terms is found invalid or unenforceable, it will be treated as modified or severed only to the extent necessary, and the remaining provisions will continue where permitted by law.

No waiver

A delay or failure to enforce a provision does not waive the right to enforce it later.

Assignment

You may not assign a right to access or use the Website in a way that avoids these Terms. Assignment of rights or obligations under a separate commercial agreement is governed by that agreement and applicable law.

No agency or partnership

Use of the Website does not create an agency, partnership, joint venture, employment or fiduciary relationship between you and ANTORIS.

Relationship to commercial agreements

These Terms govern Website use only. A separately signed commercial agreement controls the applicable transaction, and these Terms do not amend it unless the agreement expressly incorporates them.
